1. Definitions and Scope

These Terms and Conditions regulate the contractual relationship between Northside Distributions ("the Provider") and the customer ("the User") for the provision of logistics, distribution, and transportation services.

The services focus on supply chain optimization, including storage, inventory management, and delivery of goods, with the aim of improving efficiency in commerce.

1.1. Services Offered

The specific scope of services will be detailed in the individual service agreement, which may include, among others:

• Management and execution of goods transportation.
• Storage and distribution services.
• Consulting for the improvement of logistics processes.

2. Rights and Obligations

2.1. User Obligations

The User agrees to:

• Provide complete and truthful information necessary for the provision of the service.
• Fulfill its payment obligations as agreed.
• Ensure that the goods delivered for distribution comply with all applicable legislation.

2.2. Provider Obligations

Northside Distributions agrees to:

• Provide the services with the standard professional diligence of the sector.
• Maintain the confidentiality of the User's information.
• Report any incident affecting the contracted service.

3. Limitation of Liability

The Provider shall not be liable for indirect, consequential damages, or loss of profit arising from the use of the services. The total liability in any case shall be limited to the value of the service paid for in the last 12 months.

This limitation does not affect rights that applicable law does not allow to be excluded or limited, nor damages arising from gross negligence or willful misconduct.

4. Payment and Invoicing Conditions

Prices, payment terms, and invoicing methods will be specified in the commercial proposal or individual contract. Failure to pay may result in the suspension of the service.

Any modification to the rates will be communicated with at least 30 days' notice.

5. Modification and Termination

The User may request termination of the service as established in its contract. Northside Distributions reserves the right to suspend or terminate access to the service in case of a serious violation of these terms.

We reserve the right to modify these Terms and Conditions. Changes will be published on this page and will take effect upon publication. Continued use of the service constitutes acceptance of the new terms.

These terms are governed by Spanish law. Any dispute shall be submitted to the courts and tribunals of the city where the Provider has its registered office.
